Making Shadowcloth has a 3 day, 20 hour cooldown, which is not shared with the other cloths, so you can make one of each every ~4 days. However if you are a Shadoweave Tailor you make 2 cloths every four days instead of only 1.
You have to be at the Altar of Shadows in Shadowmoon valley to make this cloth. The location can be seen on this map.
In 3.1.3 (current; probably changed in 3.0.8), there is no more cooldowns for this.
